Terms and Conditions (AGB)
Please read the following information carefully.

Validity
The General Terms and Conditions (“GTC”) of Guttentag Solutions GmbH (hereinafter “Guttentag Solutions”) form an integral part of the contract concluded between the client and Guttentag Solutions for the provision of analytical services. These General Terms and Conditions also apply to purchase contracts concluded via our website https://www.cbd-test.ch.
By visiting and using our website, placing an order on our website, and/or confirming by email, post, or telephone, you expressly declare that you have read and accepted these Terms and Conditions and the Privacy Policy.

Any amendments or additions to these Terms and Conditions must be made in writing. Guttentag Solutions reserves the right to amend or supplement the Terms and Conditions at any time.

Prices
All prices are quoted in Swiss Francs (CHF) including VAT. Guttentag Solutions reserves the right to change prices at any time. The prices stated on the invoice are decisive. If the prices on the invoice are higher than those valid at the time of order, the latter shall apply. Price changes and errors are reserved.
Any invoice details requested by the client must be clearly communicated at the time the order is placed. All services of Guttentag Solutions are provided solely according to the current price list or based on a written quotation and these GTC, unless modified by written agreement.
Deviating terms of order or purchase from the client that have not been explicitly accepted in writing are not binding and are expressly rejected.

Orders and Right of Withdrawal
Orders are confirmed by an automatic confirmation email from Guttentag Solutions. This email serves only as confirmation of successful data transmission and does not constitute a binding contract. Acceptance of the order (contract conclusion) occurs only upon receipt of the samples by Guttentag Solutions or upon issuance of the final invoice.

A right of withdrawal exists up to the point when the samples are received by Guttentag Solutions. From that moment onward, orders can no longer be withdrawn. Samples received will be fully invoiced.

Withdrawn but already paid orders cannot be refunded. The overpaid amount will be credited to the client’s account and can be used for future orders.

User Account and Password
To access certain functions of our website and/or to place an order, clients are required to register and create an account. By creating an account, the client agrees to our Privacy Policy.

Clients are responsible for maintaining the security and reliability of their passwords and login credentials. They are fully responsible for all activities conducted under their account. We are not liable for losses or damages arising from misuse of login credentials.

Clients are responsible for the accuracy and completeness of the personal data provided and guarantee that such data is correct and complete in all respects. Clients must inform us of any changes or update their data via their account.

Delivery Times
The delivery time for services begins after receipt of the samples and depends on the respective offer. All stated times are approximate and non-binding.
Our quality policy obliges us to meet agreed deadlines; however, in the event of unforeseen difficulties, we cannot make binding guarantees. Force majeure, accidents, fire, staff shortages, or equipment failures release Guttentag Solutions temporarily or entirely from performance obligations. Clients will be informed promptly of any delays.

The rates listed in our price lists are in Swiss Francs and apply to individual samples. Discounts may be available for large-volume orders by prior agreement. Express orders are subject to additional charges.
Our rates are based on current labor and overhead costs and may be adjusted accordingly. For ongoing projects, monthly invoicing may be arranged.

Payments by debit or credit card and PostFinance e-payment may be subject to validity checks and authorization by your bank or by us (possibly through a third party as per our Privacy Policy).
If payment authorization is denied, we are not liable for delays or refusal of order acceptance.
Payments in the cbd-test.ch online shop are processed in a secure, encrypted environment. However, Guttentag Solutions assumes no liability for transmission security or data integrity.

Liability
Unless otherwise agreed, Guttentag Solutions is liable only for the careful execution of analytical services. Liability for slight negligence or financial losses is excluded.
Guttentag Solutions accepts no liability for decisions made by clients based on analysis results, even in the case of erroneous results. In such cases, the client will be informed, and corrected results will be provided if possible.
Guttentag Solutions is not liable for lost profits or indirect damages of any kind. Clients bear full responsibility for any personal injuries, damages, penalties, or property losses resulting from decisions based on Guttentag Solutions’ analyses.
Clients must ensure the security of their own systems, programs, and data. Passwords and usernames must be kept confidential.
Guttentag Solutions is not liable for malfunctions or security issues caused by third-party companies.

Samples
Clients are solely responsible for the delivery and condition of samples. Shipping costs are borne by the client. Guttentag Solutions assumes no liability for samples lost, damaged, or confiscated by third parties or force majeure.

Samples never become the property of Guttentag Solutions. Retained samples remain the client’s property and may be reclaimed until disposal. Guttentag Solutions is not responsible or liable for the legal compliance of samples — this responsibility lies entirely with the client.

Retention samples are generally archived at Guttentag Solutions for at least two weeks but may be disposed of earlier.
If submitted samples involve special risks (e.g., explosive, carcinogenic, toxic), the client must clearly label them and inform Guttentag Solutions in writing upon submission.

Quality Assurance
Our analytical methods are generally validated. Official methods (e.g., pharmacopoeias, food codes, national and international standards) are considered validated.
If a non-validated method is used, this will be explicitly noted in the report. Measurement uncertainty information is available upon request.
Guttentag Solutions does not subcontract analyses without prior client consent.

Clients may, upon request and subject to approval, audit the facilities where analytical services are performed. Archived documents and raw data may be viewed on site.

Archiving
Analysis results and underlying raw data are archived for at least 5 years, unless otherwise agreed. Retention samples and order forms from completed projects are archived for a maximum of 4 weeks. Long-term storage obligations remain with the client.

Reports
Issued reports are the property of the client and can be accessed via Guttentag Solutions or through the client account.
Guttentag Solutions is responsible for the accuracy of the displayed data. Erroneous reports (e.g., name or address errors) are replaced free of charge, but not due to undesired results.
Responsibility for result accuracy applies only to the provided sample and within validation limits.

It is strictly prohibited to alter or modify reports (e.g., change results, cover addresses, add watermarks or logos). Any unauthorized modification constitutes document forgery and will be reported to authorities and prosecuted.

Clients agree that reports may be accessible via QR code.

Confidentiality
Guttentag Solutions undertakes to treat all client-related information, results, and procedures as confidential unless publicly known or generally accessible. Without written agreement, results are disclosed only to the client.
Disclosure to authorities within official duties is exempt from confidentiality. Personal data is transmitted securely and not shared with third parties, used only for order processing, and treated confidentially.

Our Quality Management System ensures independence and impartiality toward clients and their processes.

Intellectual Property
Any analytical methods developed by Guttentag Solutions remain its intellectual property unless developed exclusively at the client’s request.
Clients may not transfer, reproduce, or use such methods independently or via third parties. Any dissemination or registration of intellectual property rights is prohibited.
In case of violation, Guttentag Solutions reserves the right to claim damages.
All raw data and chromatograms remain the property of Guttentag Solutions and will not be released. Viewing is possible only on-site upon request.

Jurisdiction
All contracts concluded with Guttentag Solutions and these Terms and Conditions are governed exclusively by Swiss law. The sole place of jurisdiction is Dietikon, Switzerland.
